Terms of Use and Onboarding Conditions

1. Acceptance

These Terms govern access to smartbiz.rizisoft.com, submission of SmartBiz enquiries, participation in SmartBiz onboarding, and use of public SmartBiz materials. A Business accepts the identified version when its authorized representative selects I Agree during onboarding.

A signed service agreement, order, or accepted commercial offer may contain additional terms governing a subscription, deployment, support, pricing, data processing, or service level. Those specific terms prevail over these public Terms where they conflict. If you do not agree, do not use the affected service or represent that the Business has accepted it.

2. Intellectual Property

SmartBiz is proprietary software developed and owned by RiziSoft LLC. All content on this website — including text, design, code, and graphics — is the property of RiziSoft LLC and is protected by applicable intellectual property laws.

Nothing in these terms grants you any license to copy, modify, distribute, or create derivative works of SmartBiz software or this website’s content.

SmartBiz is licensed, not sold. Any right to use a deployed instance is limited, non-exclusive, non-transferable, and governed by the applicable agreement, signed licence, Workspace scope, term, and entitlements.

3. Permitted and Prohibited Use

You may use this website to:

• Learn about the SmartBiz platform and its features.
• Submit a genuine pricing or demo enquiry.
• Access linked legal documents such as this policy and our Privacy Policy.

You may not use this website to:

• Scrape, harvest, or systematically collect content or data.
• Attempt to gain unauthorized access to any system or service.
• Transmit harmful, fraudulent, or misleading content.
• Bypass protective controls, harvest credentials, interfere with availability, or perform unauthorized security testing.
• Copy, resell, sublicense, reverse engineer, or remove ownership notices except where mandatory law expressly permits it.

4. Enquiries and Privacy

Submitting a pricing, demo, or contact enquiry asks RiziSoft LLC to respond and, where appropriate, prepare a SmartBiz onboarding invitation. Submission does not guarantee acceptance, availability, pricing, or formation of a service agreement.

The submitter represents that they are authorized to act for the Business and that the supplied Business, contact, owner, commercial, application, currency, tax, hosting, and configuration information is complete, accurate, current, lawful, and not misleading. RiziSoft may request clarification or correction and may approve or reject a submission through the governed onboarding process.

Our Privacy Policy explains how enquiry information is collected, used, disclosed, retained, and deleted. An enquiry is not consent to receive marketing communications.

5. Commercial Terms and Provisioning

Pricing, currency, taxes, billing cadence, term, included capabilities, usage limits, support, hosting, renewal, and termination rights are governed by the applicable commercial offer or service agreement. Website descriptions do not commit RiziSoft to deliver a feature outside that agreed scope.

Onboarding selections and acknowledgements may be relied upon for review, licence and subscription preparation, Workspace configuration, hosting decisions, and provisioning. Approval and provisioning remain subject to the applicable agreement, technical readiness, security checks, and current product eligibility.

6. Accounts, Credentials, and Security

The Business must protect invitation links, PINs, passwords, tokens, database credentials, and account access; assign access only to authorized users; keep administrator information current; and notify RiziSoft promptly of suspected compromise. The Business is responsible for activity performed through its authorized accounts except to the extent caused by RiziSoft’s breach of an applicable obligation.

7. Confidentiality

Each party must protect non-public technical, commercial, security, and Business information received for evaluation, onboarding, provisioning, or service delivery and use it only for the authorized purpose. Confidentiality does not cover information that is lawfully public, independently developed, or lawfully received without a confidentiality duty.

8. Privacy and Data Protection

The SmartBiz Privacy Policy explains Vendor-side processing of website, enquiry, onboarding, security, and support data. Acknowledgement confirms that the notice was presented and is not consent to marketing. The operating Business is responsible for the lawfulness, notices, permissions, and instructions applicable to personal data it controls inside its deployed SmartBiz environment.

9. Availability and Warranty

This website and its content are provided “as is” without warranty of any kind, express or implied. RiziSoft LLC does not warrant that the website will be uninterrupted, error-free, or free of harmful components.

Product descriptions and feature information reflect the platform as documented at the time of publication. Features and availability are subject to change.

10. Limitation of Liability

To the maximum extent permitted by applicable law, RiziSoft LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of this website or reliance on its content.

Liability allocation for paid SmartBiz services is governed by the applicable agreement. Nothing in these Terms excludes liability that cannot lawfully be excluded or limits mandatory data-protection or other statutory rights.

11. Third-Party and Customer-Managed Services

This website may link to external sites, including rizisoft.com. RiziSoft LLC is not responsible for the content or practices of third-party websites.

Hosting, identity, email, database, tax, payment, communications, and other connected services may have their own terms. Customer-managed infrastructure remains the Business’s responsibility unless an agreement expressly assigns a duty to RiziSoft.

12. Suspension and Termination

RiziSoft may restrict an invitation, onboarding session, account, or service where reasonably necessary to protect security, prevent unlawful use, address a material breach, comply with law, or enforce an applicable agreement. Contractual notice, cure, termination, data-return, and transition rights are governed by the applicable service agreement.

13. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. A service agreement may specify a different governing law or dispute process. Mandatory rights and regulatory jurisdiction under applicable data-protection law remain unaffected.

14. Updates

We identify the current Terms version and date above. A new version applies prospectively when presented or otherwise accepted as required by the governing relationship. Existing accepted or signed terms are not silently replaced where renewed acceptance is required.
